CAMPAIGNS BY POSTPADDY — TERMS OF SERVICE

These Terms of Service (“Terms”) are a legal agreement between Postpaddy LLC (“Postpaddy”, “we”, “us”, “our”) and the person or entity using Campaigns by PostPaddy to them (“Customer”, “you”). These Terms govern your access to and use of Campaigns by PostPaddy, including our web and mobile apps, dashboards, APIs, templates, automations, analytics, and related services (collectively, the “Service”).
By creating an account, clicking “I agree,” or using the Service, you accept these Terms. If you are using the Service for a company or other entity, you represent that you have authority to bind that entity.
Not offered to EU/UK. The Service is not offered to residents of the European Union or the United Kingdom at this time. We may block signups and access from those regions. If you are located there, do not use the Service.
Age. You must be 18 years or older to use the Service.
Definitions
“Customer Data” means data, content, and information that you (or your End Users) submit to the Service, upload, import, transmit, or otherwise make available through the Service, including contact lists, email content, automation rules, and form submissions.
“Contacts” means individuals whose personal data you store in the Service and/or send messages to.
“Message” means any email or other communication you create, schedule, or send using the Service.
“Deliverability” means whether messages are accepted by receiving servers and reach inboxes.
“AI Features” means features that generate, edit, summarize, or suggest content using machine learning or large language models.
“Documentation” means our help articles, guides, and in product instructions.
The Service
2.1 What the Service does
Campaigns by PostPaddy helps you:
create email campaigns and templates,
build automated workflows,
import, manage, and segment contact lists,
schedule and send messages,
track delivery and engagement analytics,
use AI Features to draft or optimize content.
2.2 Accounts, brands, teams, and roles
Your account may contain one or more brands/workspaces.
You are responsible for all activity under your account, including actions by teammates.
You must keep login credentials secure.
2.3 Eligibility, verification, and risk controls
We may request verification (including identity or business verification) to protect the Service and sending reputation. We may suspend sending or access until verification is completed.
2.4 Trials, limits, and throttling
Plans may include limits (for example: number of contacts, monthly sends, automation steps, AI credits, users/roles, domains). If you exceed limits, we may throttle, pause sending, restrict features, or require an upgrade.
We may set protective limits based on deliverability, complaints, bounce rates, or policy risk.
Customer responsibilities (This is the big part)
3.1 Permission based sending only
You must only send messages to contacts who have given you valid permission, unless an applicable law allows otherwise (for example, certain communications to existing customers).
You may not:
Use purchased, rented, scraped, or harvested lists.
Send to contacts collected without proper notice and permission,
Use “third-party lead gen” lists where recipients did not opt in to your brand.
3.2 Compliance with anti spam and messaging laws
You are responsible for complying with all laws and industry rules that apply to your messages, including:
unsubscribe/opt out requirements,
content and labeling rules,
accurate sender identity and subject lines,
including a valid physical mailing address when required,
honoring opt out requests promptly.
3.3 Unsubscribe and suppression
You must include a working unsubscribe mechanism in marketing emails, and honor opt outs.
We may maintain a “suppression list” or “do not send” list to help enforce opt outs and protect deliverability.
You may not re add or re email contacts who opted out, except where legally permitted (for example, transactional messages that are not marketing, if applicable).
3.4 Domain authentication and sending setup
You are responsible for proper sending setup, including domain authentication (SPF, DKIM, DMARC) where supported and required by your email provider.
3.5 Content responsibility
You are solely responsible for your messages, templates, landing pages, offers, and any content you create or send using the Service.
You represent and warrant that:
you have all rights and permissions needed for your content,
your content does not infringe intellectual property,
your content does not violate laws or third party platform policies,
your content is not deceptive, fraudulent, or misleading.
3.6 Prohibited uses
You may not use the Service to send or promote:
illegal products or services,
hate or harassment,
sexual exploitation content,
malware, phishing, credential theft, or scams,
deceptive health claims or prohibited medical content,
counterfeit goods,
multi level marketing in a way that violates law or triggers high complaint risk,
political persuasion campaigns where prohibited by law or where it materially increases risk to the Service.
We may suspend or terminate accounts that create unacceptable risk to deliverability or abuse.
AI Features
4.1 AI outputs are suggestions, not guaranteed
AI generated content is provided “as is.” It may be inaccurate, incomplete, or similar to content provided to others. You must review and approve AI outputs before using them.
We do not guarantee:
accuracy,
legal compliance,
originality,
deliverability,
performance results.
4.2 Your inputs to AI
You control what you submit to AI Features. Do not submit sensitive information unless necessary.
4.3 Output rights
As between you and PostPaddy, you own the final content you create and send, subject to third party model and provider terms. You grant us the rights needed to operate the Service (see Section 6).
Integrations and third party services
The Service may integrate with third party tools (for example: email delivery providers, analytics, CRM imports, and webhooks). Third party services are governed by their own terms and policies.
We are not responsible for third party outages, policy decisions, or changes.
6. Intellectual Property and Licenses
6.1 Your content
You own Customer Data. You grant PostPaddy a non exclusive, worldwide, royalty free license to host, store, copy, process, adapt, transmit, display, and distribute Customer Data only as needed to provide, secure, and improve the Service.
6.2 Our technology
We own the Service, software, templates library (except third party templates you provide), UI, and Documentation.
6.3 Templates
If we provide templates, you may use them within your account.
You may not resell, redistribute, or publish our templates as a competing library.
6.4 Feedback
If you provide feedback, we may use it without restriction or compensation.
Data, privacy, and security
7.1 Privacy Policy and DPA
Our Privacy Policy explains how we collect and use personal data.
If we process Customer Data (including Contacts) on your behalf, our Data Processing Addendum (DPA) applies.
7.2 Security
We use reasonable safeguards (encryption in transit and at rest, access controls, monitoring). No system is 100% secure.
7.3 Security incidents
If we become aware of a material breach affecting Customer Data, we will notify you without undue delay.
Billing, renewals, refunds
8.1 Subscription billing
If your plan is subscription based:
fees are billed in advance,
subscriptions auto renew until canceled,
plan prices and limits may change with notice.
8.2 Usage based charges
Some features may be usage based (for example: sends, contacts, AI credits). If usage exceeds your plan, we may charge overages or require an upgrade.
8.3 Taxes
You are responsible for all applicable taxes except taxes on PostPaddy’s income.
8.4 Refunds
Fees are non refundable except where required by law or expressly stated in writing by PostPaddy.
Suspension and termination
9.1 Suspension
We may suspend or limit access immediately if:
you violate these Terms,
there is spam, abuse, high complaint rates, or deliverability risk,
we suspect fraud, security issues, or chargebacks,
required verification is not completed.
9.2 Termination
You may stop using the Service at any time. We may terminate your account for cause (including repeated policy violations or non payment).
9.3 Effect of termination
access ends,
we may delete or de identify Customer Data after a reasonable period, subject to legal retention and backup cycles,
certain sections survive (including IP, disclaimers, liability, indemnity).
Disclaimer
10.1 “As is”
The Service is provided “AS IS” and “AS AVAILABLE.” To the maximum extent permitted by law, we disclaim all warranties, including merchantability, fitness for a particular purpose, non infringement, and availability.
10.2 Deliverability and performance
Deliverability depends on many factors outside our control (recipient servers, spam filters, your list quality, content, authentication). We do not guarantee delivery, inbox placement, open rates, click rates, or revenue outcomes.
Limitation of liability
To the maximum extent permitted by law:
PostPaddy will not be liable for indirect, incidental, special, consequential, punitive, or lost profits damages.
Our total liability for all claims relating to the Service is limited to the fees you paid to us for the Service in the 12 months before the event giving rise to liability.
Indemnification
12.1 Your indemnity
You will defend and indemnify PostPaddy and its affiliates, officers, directors, employees, and agents from claims, damages, losses, and expenses (including reasonable legal fees) arising from:
your Customer Data and content,
your contact list collection practices,
messages you send,
your violation of law, anti spam rules, or these Terms,
claims by your recipients or customers.
12.2 Our IP indemnity
We will defend and indemnify you against third party claims that the Service (as provided by us) directly infringes intellectual property rights, subject to:
prompt notice,
our control of the defense,
exclusions for your content, your instructions, or combinations not provided by us.
Dispute resolution; governing law
Governing law. These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict of laws rules.
Arbitration; class action waiver. Any dispute will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its rules. You and PostPaddy waive jury trials and class actions. Either party may bring eligible claims in small claims court.
Export, sanctions, and anti corruption
You must comply with applicable export controls, sanctions, and anti corruption laws. You may not use the Service in embargoed countries or by prohibited parties.
Changes
We may modify the Service and these Terms. For material changes, we will provide at least 7 days’ notice via email and/or in app. Continued use after the effective date means you accept the changes.
