LISTINGS BY POSTPADDY — TERMS OF SERVICE

These Terms of Service (“Terms”) are a legal agreement between PostPaddy LLC (“PostPaddy”, “we”, “us”, “our”) and the person or entity using Listings by PostPaddy (“Customer”, “you”). These Terms govern your access to and use of Listings by PostPaddy, including our web and mobile apps, dashboards, templates, APIs, and related services (the “Service”).
By creating an account, clicking “I agree,” or using the Service, you accept these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.
Not offered to EU/UK. The Service is not offered to residents of the European Union or the United Kingdom at this time. If you are located there, do not use the Service.
Age. You must be 18 years or older to use the Service.
Definitions
“Listing Page” means a public page created using the Service to display Products and your contact methods.
“Product” means any item, service, or offer you display on a Listing Page.
“Buyer” means anyone who views your Listing Page or contacts you about a Product.
“Customer Content” means all content you provide, upload, import, post, or otherwise make available through the Service (including Product names, descriptions, images, pricing, and branding).
“Inquiry” means a message or submission a Buyer sends to you through a form or contact button on a Listing Page.
“Third Party Services” means any third party websites, apps, tools, or platforms linked to or used with the Service (for example WhatsApp, Instagram, or a payment link you add).
What the Service is (and is not)
2.1 The Service
Listings by PostPaddy lets you build and publish a Product catalog page, add Product media, and provide ways Buyers can contact you (for example, WhatsApp, Instagram, phone call) or submit an Inquiry (where enabled).
2.2 We are not the seller and we do not handle your sales
You are the seller and you control your Products, offers, pricing, delivery, refunds, and customer support.
PostPaddy
is not the seller, reseller, or merchant of record for your Products,
does not process payments for Listings by default,
is not a party to any transaction between you and a Buyer,
is not responsible for chargebacks, refunds, delivery, warranty claims, or disputes.
If you add a payment link or messaging link, those are Third Party Services and their terms apply.
Accounts, brands, teams, and security
Your account may include one or more brands/workspaces.
The brand owner/admin is responsible for all actions taken under the brand.
You must keep your credentials secure and notify us promptly of suspected unauthorized access.
We may require verification or additional information to reduce fraud, abuse, or compliance risk.
Your responsibilities
4.1 Your Products and your claims
You are responsible for:
the accuracy of your Product details (including pricing and availability, if shown),
the quality, safety, legality, and delivery of your Products,
responding to Buyer requests, inquiries, and complaints,
complying with consumer protection, advertising, and e commerce laws applicable to you,
any taxes, duties, or fees related to your Products.
4.2 Rights to Customer Content
You represent and warrant that:
you own or have the necessary rights, licenses, and permissions to use and publish Customer Content,
your Customer Content does not infringe or misappropriate any intellectual property or privacy rights,
your use of the Service does not violate any law or third party policy.
4.3 Privacy and notices to Buyers
If you collect Inquiries (forms, lead capture, request a call), you are responsible for providing the required notices to Buyers and obtaining any required consents. You are the controller for Buyer data you collect, and PostPaddy generally acts as your processor for that data.
Prohibited content and restricted Products
You may not use the Service to publish, promote, or facilitate:
illegal goods or services,
counterfeit or infringing Products,
scams, fraud, deceptive offers, or false claims,
hate, harassment, or threats,
malware, phishing, credential harvesting, or harmful code,
exploitation of minors or any child sexual content (zero tolerance).
Restricted categories (high risk). Unless we approve in writing, you may not list:
weapons or weapon parts,
controlled drugs or drug paraphernalia,
tobacco/nicotine products,
alcohol,
gambling services,
hazardous materials or explosives,
stolen goods.
We may remove content or suspend accounts to enforce these rules or to protect users and the Service.
Content moderation, takedowns, and reporting
6.1 Our rights
We may (but are not required to) monitor, review, remove, or disable access to any Listing Page or Customer Content at any time, including where we believe it violates these Terms, the law, or creates risk to PostPaddy or others.
6.2 IP complaints
If you believe content on the Service infringes your copyright or trademark, contact us at [email protected] with:
your name and contact details,
identification of the work and the allegedly infringing content (URLs),
a statement of good faith belief,
a statement that the information is accurate and you are authorized to act,
an electronic signature.
We may remove the content and, where appropriate, notify the Customer.
Licenses and intellectual property
7.1 Your content
You own your Customer Content.
You grant PostPaddy a non exclusive, worldwide, royalty free license to host, store, reproduce, modify (for formatting and technical display only), transmit, and display Customer Content as needed to provide and operate the Service, including to publish your Listing Page publicly.
7.2 Your brand and marketing
You grant us a limited license to use your brand name and logo to:
display it inside your Listing Page,
identify you as a PostPaddy customer (for example, “Built with PostPaddy”) unless you disable this where offered.
7.3 Our IP
We own the Service, our software, templates we provide, and Documentation. You may not copy, resell, reverse engineer, or create competing products based on the Service.
7.4 Feedback
If you provide feedback, you grant us the right to use it without restriction or compensation.
Third Party Services
The Service may contain links to Third Party Services (for example, WhatsApp, Instagram, payment links, shipping tools).
We do not control Third Party Services.
Their terms and privacy policies apply.
We are not responsible for Third Party Services, including any transaction you enter into with them.
Fees, billing, and taxes
If the Service (or parts of it) are paid:
subscriptions are billed in advance and renew automatically unless canceled,
plan limits may apply (for example, Products, views, team members),
fees are non refundable except where required by law or expressly stated by us.
You are responsible for applicable taxes, except taxes on PostPaddy’s income.
Suspension and termination
10.1 Suspension
We may suspend or limit access immediately if:
you violate these Terms,
we detect fraud or abuse,
your Listing Pages create legal, security, or reputational risk,
you fail to pay fees when due.
10.2 Termination
You may stop using the Service at any time. We may terminate your account for cause.
10.3 Effect of termination
Access ends. We may delete or de identify Customer Content after a reasonable period, subject to legal retention and backup cycles.
Disclaimers
The Service is provided “AS IS” and “AS AVAILABLE.”
We do not guarantee:
uptime,
that Buyers will contact you,
that your Products will sell,
that your Listing Page will meet your goals.
We are not responsible for Buyer conduct, Buyer disputes, or any outcomes from your Listings.
Limitation of liability
To the maximum extent permitted by law:
PostPaddy will not be liable for any indirect, incidental, special, consequential, punitive, or lost profits damages.
PostPaddy’s total liability for all claims relating to the Service is limited to the fees you paid to PostPaddy for the Service in the 12 months before the event giving rise to liability.
Indemnification
You will defend and indemnify PostPaddy and its affiliates, officers, directors, employees, and agents from claims, damages, losses, and expenses (including reasonable legal fees) arising from:
your Products and Customer Content,
your transactions and communications with Buyers,
your failure to comply with law,
claims that your Customer Content infringes third party rights.
Dispute resolution and governing law
Governing law. These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict of laws rules.
Informal resolution. Before filing a claim, each party agrees to try to resolve disputes informally by written notice and good faith discussion for at least 30 days.
Arbitration; class action waiver. If not resolved, disputes will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. You and PostPaddy waive jury trials and class actions. Either party may bring eligible claims in small claims court.
Export controls and sanctions
You must comply with applicable export controls and sanctions laws. You may not use the Service if you are a prohibited party or in a restricted country.
Changes
We may update these Terms. For material changes, we will provide notice (for example, in app or by email). Continued use after the effective date means you accept the updated Terms.
